Terms of Service

1. Acceptance of Terms

By accessing and using the Blueprint platform, provided by Verdic Systems, Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Blueprint is a comprehensive construction management operating system designed for construction managers, architects, estimators, general contractors, and subcontractors. We provide a platform for project management, estimating, bid leveling, and field operations.

3. User Accounts

To use certain features of the service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Customer Data Responsibilities

As the creator and owner of the organization account, you are the Data Controller. You are solely responsible for the conduct and data of any employees, subcontractors, or third parties you invite to join your organization on the platform.

You are responsible for managing the permissions, access, and deletion of user accounts within your organization. Verdic Systems will not fulfill data deletion requests directly from your end-users; such requests must be processed by you, the Organization Owner.

5. Account Cancellation & Data Retention

You may cancel your subscription at any time. Upon cancellation, your access to the platform will be revoked. We will securely retain your tenant database for a period of 30 days following cancellation to allow for accidental cancellations or data export requests. After this 30-day period, we will permanently delete your tenant database and all associated user data, and it cannot be recovered.

6. Data Policy and Security

We employ an "Air Gap" data policy for all enterprise clients, meaning that your project data is siloed and is not shared with or accessible to unauthorized third parties or cross-pollinated with other accounts. We take reasonable measures to protect your information, but we cannot guarantee absolute security.

7. Acceptable Use

You agree not to use the service to:

• Violate any applicable local, state, national, or international law.
• Infringe upon the rights of others, including intellectual property rights.
• Transmit any material that contains software viruses or any other malicious code.
• Interfere with or disrupt the integrity or performance of the service.

8. Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice. You agree that Verdic Systems, Inc. shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the service.

9. Limitation of Liability

To the maximum extent permitted by law, Verdic Systems, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost bids, inaccurate estimates, or project losses resulting from your use of the Blueprint platform. You acknowledge that you are solely responsible for reviewing and verifying all final calculations, takeoffs, scopes, and estimates produced using our tools before relying on them for bids, contracts, or construction execution.

10. AI Suggestions and Human-in-the-Loop

Blueprint features artificial intelligence capabilities, including AI-generated suggestions for line items, quantities, and proposal drafts. These outputs are intended strictly as assistive tools and suggestions. You acknowledge that AI outputs may be inaccurate or incomplete and require professional human review and validation before being utilized in legal contracts, final bids, or project planning. Verdic Systems assumes no responsibility for errors or omissions generated by automated systems.

11. Intellectual Property & Confidentiality

You retain all ownership rights to any proprietary data you upload to the platform, including architectural blueprints, bid packages, subcontractor pricing, and private formulas. By uploading such data, you grant Verdic Systems the necessary licenses to process, display, and store these files solely for the purpose of providing the service to you. We maintain strict confidentiality and utilize Air Gap data policies to ensure your proprietary information is not shared or cross-pollinated with other tenants.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.
